Terms of Use for User-Generated Content

The Haleon group of companies (“HALEON”, “we”, or “us”) may, at its sole discretion, allow users to contribute reviews and/or other user-generated content (collectively, “User-Generated Content” or “Content”) to its websites or social media for HALEON’s use. User-Generated Content must comply with the content standards set out in these Terms of Use (“Terms”). These Terms constitute a legally binding agreement between you and HALEON. Haleon reserves the right to alter these Terms of Use without advance notice.

Accordingly, you should review the Terms of Use each time you grant permission to feature your Materials. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT CONTRIBUTE CONTENT TO HALEON.

How to grant HALEON permission to use Content:

If you agree to permit Haleon to use Content you contribute, please either (1) check the box affirmatively consenting to these Terms when leaving a review on a Haleon website; or, where applicable and upon request by HALEON, (2) reply to our Direct Message or email with the hashtag #PermissionGranted or a statement granting us permission to use your Content. By granting permission via the aforementioned methods, you agree to these Terms.

Content Requirements, Representations and Warranties:

By contributing or submitting any Content to HALEON, you warrant and guarantee that:

You are the sole author and owner of the intellectual property rights in the Content, including but not limited to any copyrights, trademarks, or rights of publicity/privacy or NIL (name, image or likeness) rights;
All “moral rights” that you may have in such Content have been voluntarily waived by you;
All Content you contribute is accurate (where it states facts), is genuinely held (where it states opinions), and complies with the law applicable in any country from which it is posted;
You are at least 18 years old;
The Content does not violate these Terms and will not reasonably be expected to cause injury to any person or entity;
You have used or purchased the product/service that is the subject of your Content, and the Content presented is setting out your first-hand experience of using or purchasing the product.

You further agree that you may not submit any Content:

That is known or reasonably should be known by you to be false, inaccurate or misleading;
That breaches any legal duty owed to a third party, such as a contractual duty or a duty of confidence, nor infringe any intellectual property rights of a third party such as copyright, trademark, or right of publicity (name, image, likeness);
That includes an image of another person without their consent, an image of an individual under the age of 18 (unless that individual is your child or you are that individual’s legal guardian), or an image that you have not created or to which you do not own the copyright;
That violates any law, statute, ordinance or regulation (including, but not limited to, those governing, consumer protection, unfair competition, anti-discrimination or false advertising);
That promotes or includes any illegal Content or activity, sexually explicit material, child sexual abuse material, violence, Content that is discriminatory based on race, sex, religion, nationality, disability, sexual orientation or age;
That advocates, promotes, incites any party to commit, or assists any unlawful or criminal act;
That is, or may reasonably be considered to be, deceitful, obscene, defamatory, libelous, hateful, racially or religiously biased or offensive, harmful, threatening, harassing, bullying, intimidating, humiliating, abusive, an invasion of another’s privacy, causing annoyance, inconvenience or needless anxiety;
In which you impersonate or pretend to be anyone else but you; falsely state or otherwise misrepresent your affiliation with any person or entity in connection with the website; or expressly state or imply that we endorse any statement you make;
That gives the impression that the Contribution emanates from HALEON if this is not the case;
That fails to disclose a material connection to HALEON (including but not limited to financial, employment, or the receipt of free product), if applicable;
For which you were compensated or granted any consideration by any unapproved third party;
That includes any information that references other websites, email addresses, contact information or phone numbers;
That contains advertising or promotes any products, services, or links to other websites or social media platforms;
That contains any computer viruses, trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware; and
That contains a statement which you know or believe, or have reasonable grounds for believing, that members of the public to whom the statement is, or is to be, published are likely to understand as a direct or indirect encouragement or other inducement to the commission, preparation or instigation of acts of terrorism.

HALEON’S use of Content:

For any Content you contribute, you grant HALEON (and its officers, directors, agents, subsidiaries, joint ventures, employees and third-party service providers), a non-exclusive, perpetual, irrevocable, royalty-free, transferable right and license to use, copy, reproduce, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such Content and/or incorporate such Content into any form, medium or technology, including but not limited to for advertising, promotional or marketing purposes, throughout the world, forever, and without compensation to you.

You further grant HALEON (and its officers, directors, agents, subsidiaries, joint ventures, employees and third-party service providers), a non-exclusive, perpetual, irrevocable, royalty-free, transferable right and license to use and publish your name, likeness and/or voice, and any simulation thereof, and/or photographs or video of you that you contribute.

You understand that although you will retain ownership of your Content, our right to use and display the Content will not expire, we will not owe you any money or other compensation for its use, and we may allow others to use the Content.

All Content that you contribute may be used by HALEON at its sole discretion. HALEON has no obligation to use the Content you contribute or to credit you for use of the Content, and your name and/or username, social media handle or image, may not appear on reproductions or representations of the Material. HALEON reserves the right to remove or to refuse to post any contribution to the extent authorized by law. HALEON reserves the right to change, condense, withhold publication, remove, or delete any Content on HALEON websites that HALEON deems, in its sole discretion, to violate these Terms or any applicable law or regulation. HALEON does not guarantee that you will have any recourse through HALEON to edit or delete any Content you have submitted.

You acknowledge that you, not HALEON, are responsible for the contents of your submission. None of the Content you submit shall be subject to any obligation of confidence on the part of HALEON, its agents, subsidiaries, affiliates, partners or third-party service providers and their respective directors, officers and employees.

Indentification from and/or Legal actions related to User-Generated Content:

You agree you will be liable to HALEON, and will indemnify and hold HALEON (and its officers, directors, agents, subsidiaries, joint ventures, employees and third-party service providers) harmless, from all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown including reasonable attorneys' fees, arising out of any Content you contribute or any breach of your representations and warranties set forth above, or your violation of any law or the rights of a third party in connection with your contribution of Content. This means you will be responsible for any loss or damage HALEON suffers because of your breach of warranty or violation of these Terms in connection with your Content.

You also hereby understand and agree to release and discharge Haleon and its respective directors, officers, employees, agents, licensees, successors, and assigns from any and all claims, proceedings, demands, causes of action, costs, damages and/or expenses that you may have or may have hereafter, related to the following non-inclusive list: libel, defamation, invasion of privacy, intellectual property infringement, infringement of copyright or violation of any other right arising out of any exhibition, use, publicity or promotion of the Content.

You acknowledge and agree that once Content is published, HALEON is unable to prevent and shall not be held liable for, nor have a duty to police or seek removal of, any use made by third parties of the Content (alone, combined with other elements and/or works, or integrated in a larger unit or work) except where HALEON has expressly granted rights to use to the applicable third party (although HALEON shall alert you should it become aware of any suspected misuse(s) of your Material).

Breach of these Terms of Use

When HALEON considers that a breach of these Terms has occurred, HALEON may take such reasonable action as HALEON deems appropriate, including (but not limited to):

Immediate, temporary or permanent withdrawal of your right to use the website and removal of any Contribution made by you to the website;
Legal action against you, including bringing legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach; and/or
Disclosure of such information to law enforcement authorities as HALEON reasonably feel is necessary or as required by law.
